Boon Terms and Conditions of Service

These Terms and Conditions of Service ("Terms") are a legal agreement between you ("you" or "User") and Boon ("Boon," "we," "us," or "our") governing your access to and use of the Boon mobile application (the "App") and any related services (collectively, the "Service"). By downloading, installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

These Terms should be read together with our Privacy Policy, which explains how we collect, use, and protect information. If there is a conflict between these Terms and the Privacy Policy on a matter of data handling, the Privacy Policy governs.

1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. By using the Service, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.

2. What Boon Is (and Is Not)

Boon is an informational tool designed for gig-economy drivers and couriers (e.g., Uber, Bolt, Lyft, DoorDash, and similar platforms). It reads job-offer information already visible on your device screen and displays an on-screen evaluation — such as fare, estimated hourly rate, pickup distance, and passenger rating — based on thresholds you configure.

Boon is not:

  • A driver-platform app, dispatch system, or booking service;

  • Affiliated with, endorsed by, or operated on behalf of Uber, Bolt, Lyft, DoorDash, Uber Eats, Just Eat, Grubhub, Grab, or any other third-party platform referenced in the App;

  • An automation, botting, or account-management tool — Boon never taps, swipes, submits, cancels, or otherwise interacts with any third-party app on your behalf;

  • Financial, tax, legal, or professional advice of any kind.

All trademarks, logos, and brand names of third-party platforms mentioned in the App are the property of their respective owners and are used solely for descriptive, interoperability purposes.

3. License to Use the App

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on a device you own or control, for your own personal, non-commercial gig-work use. This license does not permit you to:

  • Copy, modify, reverse-engineer, decompile, or disassemble the App, except to the extent applicable law expressly permits despite this restriction;

  • Rent, lease, sell, sublicense, distribute, or otherwise transfer the App or your account to a third party;

  • Use the App to build a competing product or service;

  • Remove, obscure, or alter any proprietary notices in the App.

We reserve all rights in the App not expressly granted to you.

4. Accounts

Some features (such as cross-device settings sync) may require you to sign in, including via Google Sign-In. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized use of your account. You may delete your account at any time from within the App or by contacting us (Section 14).

5. Permissions the App Requests

To function, the App may request the following device permissions. You may decline or later revoke any of them in your device settings, though doing so may disable the related feature:

  • Accessibility Service — to read on-screen offer text for scoring (see Privacy Policy §1.1). Boon does not use this permission to take any action on your device beyond reading visible text.

  • Screen capture (MediaProjection) — a fallback capture method, shown to you via an in-app disclosure before use, that reads on-screen content the same way and is never used to record, store, or transmit your screen (see Privacy Policy §1.2).

  • Camera — for optional receipt scanning.

  • Location (GPS) — for optional mileage tracking.

  • Notification access — as a secondary signal source, read-only.

You are solely responsible for deciding which permissions to grant based on which features you want to use.

6. Subscriptions, Trials, and Payment

Boon may offer a free tier and one or more paid, auto-renewing subscription plans (for example, weekly, monthly, or yearly plans), purchased and managed through the Google Play Store (and, if the App becomes available there, the Apple App Store). Where offered:

  • Auto-renewal. Subscriptions automatically renew for the same term unless you cancel at least 24 hours before the end of the current period. Your payment method will be charged through your app store account.

  • Free trials. If a free trial is offered, your subscription will automatically convert to a paid subscription at the end of the trial unless you cancel before it ends.

  • Pricing. Prices are as displayed in the App at the time of purchase and may vary by region and currency. We may change prices for future billing periods with notice as required by the applicable app store's policies.

  • Cancellation. You can cancel or manage your subscription at any time through your Google Play (or Apple App Store) account settings — not through Boon directly, since we do not have access to or control over your payment method.

  • Refunds. All payments are processed by the applicable app store, and refund requests are subject to that store's refund policy, not ours. We do not have the ability to issue refunds directly.

  • No guarantee of continued features. Paid features may change over time; we will not materially reduce the core functionality of an active paid tier without reasonable notice.

7. Acceptable Use

You agree not to:

  • Use the App for any unlawful purpose or in violation of any applicable law or regulation;

  • Use the App in a manner that violates the terms of service of any third-party driver or delivery platform (see Section 8);

  • Attempt to gain unauthorized access to the App's backend systems, other users' data, or our infrastructure;

  • Interfere with or disrupt the integrity or performance of the App;

  • Use the App to harass, defraud, or harm any person;

  • Misrepresent your identity or affiliation when contacting us for support.

We reserve the right to suspend or terminate your access to the Service if we reasonably believe you have violated these Terms.

8. Your Responsibility Regarding Third-Party Platforms

Boon reads only information already visible on your own screen and does not interact with, automate, or interfere with any third-party driver or delivery app. However, third-party platforms set and change their own terms of service, and some platforms may restrict the use of accessibility tools, overlays, or screen-reading software alongside their apps, at their sole discretion and without notice to us.

You are solely responsible for reviewing and complying with the terms of service of any platform you use alongside Boon. We make no representation or warranty that your use of Boon complies with any third-party platform's terms, and we are not responsible for, and expressly disclaim liability for, any warning, suspension, deactivation, loss of income, or other consequence imposed on you by a third-party platform arising from or related to your use of the App.

9. Intellectual Property

The App, including its design, graphics, text, logos, and underlying software, is owned by Boon or its licensors and is protected by copyright, trademark, and other intellectual property laws. Except for the limited license granted in Section 3, nothing in these Terms transfers any intellectual property rights to you.

10. Disclaimer of Warranties

THE APP AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The App will be uninterrupted, timely, secure, or error-free;

  • Any fare, distance, time, rating, verdict, earnings figure, mileage calculation, or expense total displayed by the App is accurate, complete, or current;

  • The App will correctly detect, read, or evaluate every job offer, on every device, in every configuration, at all times;

  • Any defects in the App will be corrected.

The App's screen-reading and text-recognition functionality can be affected by device performance, operating system behavior, screen layout changes made by third-party apps (which may change at any time without notice), connectivity, and other factors entirely outside our control. You acknowledge that Boon's outputs are estimates and informational aids only, and you remain solely responsible for every decision you make — including whether to accept or decline any job offer — regardless of what the App displays.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

(a) IN NO EVENT WILL BOON, ITS DEVELOPERS, OWNERS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, EARNINGS, BUSINESS OPPORTUNITY, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE APP, INCLUDING BUT NOT LIMITED TO:

  • any decision you make to accept, decline, or continue a job offer based on information displayed by the App;

  • any inaccuracy, delay, or failure in reading, scoring, or displaying an offer, earnings figure, mileage calculation, or expense total;

  • any action taken against your account or standing by a third-party driver or delivery platform;

  • any loss, corruption, or unavailability of data stored on your device;

  • any unauthorized access to or alteration of your data;

EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

(b) OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE APP, THE SERVICE, OR THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF (i) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) TEN U.S. DOLLARS (US $10).

(c) Some jurisdictions do not allow the exclusion or limitation of certain damages or implied warranties, so some of the above limitations or exclusions may not apply to you. In such cases, our liability is limited to the greatest extent permitted by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Boon and its developers, owners, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your use or misuse of the App; (b) your violation of these Terms; (c) your violation of any third-party platform's terms of service; or (d) your violation of any applicable law or the rights of any third party.

13. Termination

You may stop using the App and delete your account at any time. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or unlawful activity, or if we discontinue the Service. Sections 9–13 and 15–17 will survive any termination of these Terms.

14. Changes to the App and These Terms

We may modify, suspend, or discontinue the App (or any feature of it) at any time, with or without notice. We may also update these Terms from time to time. If we make material changes, we will provide reasonable notice through the App or other reasonable means, and we will update the "Last updated" date above. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which Boon is established, without regard to conflict-of-law principles, except where applicable consumer-protection law requires otherwise. Any dispute arising out of or relating to these Terms or the App that cannot be resolved informally shall be resolved on an individual basis, and you agree to waive any right to a jury trial or to participate in a class action, to the extent permitted by applicable law.

16. Severability; Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Boon regarding the Service and supersede any prior agreements.
